1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether individually or on behalf of an entity, “Merchant”, “User”, or “You”) and RamizSoft Technologies (“RamizSoft”, “Company”, “We”, or “Us”), governing your access to and use of RamizSoft Web applications, the FOne (Finance in One) Business Suite, Point of Sale (POS) registers, inventory and accounting tools, mobile applications, and all associated cloud sync infrastructure (collectively, the “Services”).

By clicking “I agree to the Terms of Service and Privacy Policy”, creating an Organization on FOne, logging in with a 4-digit PIN or master credentials, or by using the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you are expressly prohibited from using the Services and must discontinue use immediately.

2. Description of Services

RamizSoft provides enterprise business management software designed for retail outlets, wholesale distributors, service providers, restaurants, and commercial enterprises. Key capabilities include:

• Point of Sale (POS) & Digital Invoicing: Quick barcode billing, custom print layouts (A4 Executive Tax Invoice, A5, 80mm & 58mm Thermal receipts), automated discount & tax slabs.
• Inventory & Stock Ledger: Real-time stock decrements for tracked items, perpetual inventory ledgers, batch & expiry tracking, and non-inventory sales tracking.
• Financial Accounting & Ledger: Sales registers, purchase bills, sales/purchase returns, expense tracking, and cash registers.
• Staff Management & Access Controls: Role-based permissions, staff directories, shift registers, and instant 4-digit PIN login.
• Offline-First Architecture & Hybrid Cloud Sync: Seamless offline till transactions stored locally with automatic background synchronization to secure cloud endpoints upon network availability.

3. Commercial SaaS License & Permitted Use

Subject to your compliance with these Terms, RamizSoft grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software solely for your internal business operations. You agree not to:

• Reverse engineer, decompile, or disassemble any portion of the Services.
• Modify, distribute, resell, sublicense, or white-label the software without prior written authorization from RamizSoft.
• Circumvent or tamper with multi-device session concurrency limits, user access controls, or license tier enforcements.
• Use the Services to issue fraudulent tax invoices, conceal taxable income, or engage in unlawful commercial activities.

4. User Accounts, Staff Permissions & 4-Digit PIN Security

When establishing an Organization, you are responsible for maintaining the confidentiality of your master credentials, staff login credentials, and 4-digit Quick PINs.

5. Subscription Plans, 14-Day Free Trial & Billing Terms

14-Day Free Trial: New Organizations receive a 14-day fully featured free trial with zero payment obligation or credit card requirement. You may evaluate POS, inventory, reports, and staff management without commitment.

Subscription Renewal: Following the trial period, continuous cloud sync, multi-branch operations, and mobile access require an active subscription (Starter, Standard, Professional, or Enterprise tier). Fees are non-refundable except where explicitly required by applicable law.

Taxes: All subscription charges are exclusive of applicable Goods & Services Tax (GST) or regional value-added taxes, which will be billed at the statutory rate.

6. Merchant Data Ownership & Confidentiality

RamizSoft asserts no intellectual property claims over your business records. We will never sell, monetize, or provide your transaction information to third-party data aggregators, competitors, or marketing firms. We process your data strictly to execute POS operations, maintain cloud backups, and perform authorized sync operations.

7. Tax & Fiscal Compliance (GST, Invoicing & HSN Codes)

RamizSoft provides automated tools to calculate GST (CGST, SGST, IGST, Cess), apply HSN/SAC codes, and render compliant tax invoice formats. However, you remain solely responsible for the legal accuracy of your tax filings, invoice numbers, customer GSTIN verification, and compliance with the Central Goods and Services Tax Act and local tax regulations.

8. Offline-First Continuity & Cloud SLA

FOne Till is engineered with an offline-first architecture. If your Internet connection fails, your registers continue generating receipts, accepting cash/credit transactions, and preserving ledger entries locally in browser and app storage. Transactions automatically sync when your connection is restored.

RamizSoft strives to maintain 99.9% availability for cloud synchronization and API services, excluding scheduled maintenance announced in advance.

9. Hardware Compatibility & Third-Party Services

The Services integrate with third-party hardware (ESC/POS thermal printers, Bluetooth printers, barcode scanners, cash drawers) and third-party APIs (WhatsApp Business, SMS gateways, payment aggregators). While RamizSoft optimizes compatibility with standard ESC/POS protocols, we do not warrant that all peripheral equipment will function without merchant-side driver installation.

10. Intellectual Property Rights

The software, source code, database architectures, user interface designs, logos (“RamizSoft”, “FOne”), graphics, and documentation are the exclusive intellectual property of RamizSoft Technologies. No rights are granted other than the specific commercial usage rights explicitly provided in these Terms.

11. Limitation of Liability

To the maximum extent permitted by applicable law, RamizSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of business profits, data corruption, hardware malfunction, or operational downtime. In no event shall RamizSoft’s aggregate liability exceed the total subscription fees paid by you in the twelve (12) months preceding the incident.

12. Termination & Data Export

You may cancel your subscription at any time. Upon cancellation or termination:

• You retain full access to export your customer directory, product catalog, sales invoices, and ledger history to standard formats (Excel, CSV, JSON).
• RamizSoft maintains a 30-day retention grace period before permanent account archiving to safeguard against accidental loss.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or claim arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Tamil Nadu, India.
